Paramor Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you" or "User") and Dynamanic LLC ("Dynamanic," "we," "us," or "our"), the operator of Paramor, available at https://paramor.ai (the "Service"). By creating an account, clicking "I agree," or otherwise using the Service, you agree to these Terms, our Acceptable Use Policy ("AUP"), our Privacy Policy, and our Cookie Policy, each of which is incorporated by reference. If you do not agree, do not use the Service.

PLEASE READ CAREFULLY. These Terms include important provisions that affect your legal rights, including a disclaimer of warranties and a limitation of liability (Sections 12 and 13), your indemnification obligations (Section 14), and an agreement to resolve disputes (Section 18). They also describe an optional adult ("R") tier that requires age verification (Section 6).

1. What Paramor Is

Paramor is a subscription web application that provides an artificial-intelligence voice and text companion ("Companion") for entertainment and companionship. With Paramor you can:

• create and customize a Companion persona (name, personality, voice, backstory, and other settings);
• exchange text messages with your Companion; and
• have your Companion place and receive phone calls to and from your verified phone number, with conversational memory that can carry across sessions.

Phone calls are delivered through our telephony provider, Twilio. The Service may also display AI-generated images of your Companion where that feature is enabled.

2. Your Companion Is Artificial Intelligence — Not a Real Person (Critical Disclosure)

You understand and agree that:

• (a) The Companion is software, not a human. It is a fictional, AI-generated persona. It is not a real person, has no real-world existence, and does not have genuine feelings, consciousness, intentions, or independent agency, even when it expresses otherwise.
• (b) All Companion content is AI-generated. Every message, voice response, and image your Companion produces is generated by artificial intelligence. Any images are not photographs of any real person and do not depict a real event.
• (c) Calls are automated AI calls. When your Companion calls you or answers your call, you are speaking with an automated AI system, not a person.
• (d) Entertainment only — not advice or crisis support. The Service is for entertainment and companionship. It is not a source of professional advice (medical, mental-health, legal, financial, or otherwise), is not a counseling or therapy service, and is not an emergency or crisis service. If you are in distress or crisis, please contact a qualified professional or emergency services. In the United States, you can call or text 988 to reach the Suicide & Crisis Lifeline. Outside the United States, contact your local emergency number or crisis line.

3. Eligibility — You Must Be 18 or Older

The Service is strictly for adults. By using the Service you represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction, if higher) and have the legal capacity to enter into these Terms.

We do not knowingly permit anyone under 18 to use the Service or knowingly collect personal information from anyone under 18. We may refuse, suspend, or terminate access at any time if we believe you are under 18 or have misrepresented your age. The optional adult tier additionally requires successful age verification (Section 6).

4. Your Account and Security

To use the Service you create an account with an email address and a password (your password is stored only in hashed form and is never kept in clear text) and verify a phone number through Twilio Verify so your Companion can call and text you.

You agree to:

• provide accurate, current registration information and keep it up to date;
• keep your login credentials confidential and not share your account;
• be responsible for all activity that occurs under your account; and
• notify us promptly at inquiries@dynamanic.io if you suspect any unauthorized use.

One account per person, unless we agree otherwise in writing. You are responsible for any charges your phone carrier or device provider imposes for calls or messages.

5. Subscriptions, Billing, Renewal, and Cancellation

Some features of the Service require a paid subscription.

• Payment processor. Subscriptions are billed through our payment processor, Stripe. Stripe handles your card information directly; Paramor never receives or stores your full card number. We retain only your subscription status and a Stripe customer reference (see the Privacy Policy).
• Recurring charges. By subscribing, you authorize recurring charges at the then-current price and billing interval (for example, monthly) until you cancel. We will disclose the price, billing interval, and renewal terms before you are charged, consistent with applicable automatic-renewal laws.
• Cancellation. You may cancel at any time through your account settings or by contacting us at inquiries@dynamanic.io. Cancellation stops future renewals and takes effect at the end of your current paid term; you retain access to paid features until then.
• Refunds. Except where required by law or expressly stated otherwise, fees are non-refundable, and partial billing periods are not refunded. Forfeiture of prepaid fees may also occur upon termination for a violation of these Terms or the AUP (Section 16).
• Price changes. We may change subscription prices on a going-forward basis. We will give you advance notice, and changes apply to your next billing cycle.

TODO (counsel): Confirm state-specific automatic-renewal disclosures and cancellation mechanics (e.g., California Automatic Renewal Law, the Restore Online Shoppers' Confidence Act, and any "click-to-cancel" requirements), and finalize the refund policy and any free-trial terms.

6. PG-13 Default and the Optional Adult ("R") Tier

The default Paramor experience is PG-13. Your Companion is designed to keep conversations and any generated content within a PG-13 envelope unless an adult tier is enabled for your account.

Paramor offers an optional adult ("R") tier with more permissive content. Because the R tier involves adult material, it is available only after you complete real age verification confirming you are an adult:

• (a) Age verification. Age is verified through our third-party provider, Yoti Age Checks, using facial age estimation and, where applicable, optional document-based methods. Yoti processes the biometric or identifying media needed for the check. Consistent with a no-retention posture, neither Paramor nor Yoti retains the underlying selfie, biometric template, date of birth, or identifying media after the check is complete. Paramor stores only the outcome of the check — that you were verified, the method used, and a timestamp. Before any facial scan is performed, you will be shown a separate, plain-language consent screen. Our handling of this data, and your rights under biometric-privacy laws (such as the Illinois Biometric Information Privacy Act and similar state laws), are described in the Privacy Policy and the Age Verification & Adult Content Notice.
• (b) Availability today. The adult tier is currently enabled at the operator level only. A per-user adult tier, gated behind individual age verification, is planned but may not yet be available to your account. We may add, change, condition, geofence, or remove the adult tier at any time.
• (c) No minors, ever. Age verification confirms only that a verified user is an adult. Nothing in any tier permits content that sexualizes, depicts, or could be interpreted as depicting a minor, or that depicts any non-consenting real person. These prohibitions are absolute and are detailed in the AUP.

TODO (counsel): Confirm which U.S. state age-verification statutes apply to the adult tier, whether facial age estimation alone satisfies each applicable statute, the accepted verification methods per jurisdiction, and any retention/disclosure requirements, before the per-user adult tier launches.

7. Your Content and Persona License

You may provide inputs to the Service, including the persona and configuration data you create for your Companion, the messages and audio you exchange during calls and chats, and any other information you submit ("User Content").

• Ownership. As between you and us, you retain whatever rights you have in your User Content.
• License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and use your User Content for the purpose of operating, providing, securing, moderating, and improving the Service for you, and as otherwise described in the Privacy Policy. This license lasts as long as we retain the relevant content and ends when the content is deleted, subject to legally required retention.
• Your responsibility. You represent that you have the rights necessary to provide your User Content and that it does not violate these Terms, the AUP, or any law or third-party right.
• Call audio, recordings, and transcripts. Where call recording is enabled, recordings and the transcripts generated from them are retained for a limited window (by default approximately 14 days) and are then automatically pruned, except where we must preserve material for legal or safety reasons (see the Privacy Policy and Section 16).

8. Acceptable Use

Your use of the Service is governed by our Acceptable Use Policy (AUP), which is incorporated into these Terms. Among other things, the AUP strictly prohibits any attempt to create, request, or obtain:

• content that sexualizes, depicts, or could be interpreted as depicting a minor (including wholly AI-generated depictions) — we have zero tolerance for child sexual abuse material (CSAM);
• non-consensual intimate imagery or sexual "deepfakes" of any identifiable person; or
• depictions of any real person other than yourself without their verified consent.

The AUP also prohibits harassment, fraud, impersonation, unlawful use, attempts to defeat age verification or content moderation, and scraping, reverse-engineering, or using outputs to train competing models. Violations may result in immediate suspension or termination, preservation of evidence, and reporting to authorities, including the National Center for Missing & Exploited Children (NCMEC), as required by law. We also maintain a notice-and-removal process for non-consensual intimate imagery consistent with the TAKE IT DOWN Act, described in the AUP. You are solely responsible for your inputs and conduct. Please read the full AUP before using the Service.

9. AI Outputs — No Guarantee of Accuracy and No Reliance

Artificial intelligence can produce content that is inaccurate, outdated, inconsistent, offensive, or otherwise unexpected, even when it sounds confident or authoritative. You acknowledge and agree that:

• you will not rely on Companion output as a statement of fact or as professional advice of any kind;
• we do not warrant that outputs are accurate, complete, appropriate, or fit for any purpose; and
• you are responsible for any decision you make or action you take based on Companion output. See Section 2(d) for crisis resources.

10. Intellectual Property

The Service, including the Paramor name and logo, the Companion technology, all software, models, prompts, interfaces, and all AI-generated outputs (other than your User Content), is owned by us or our licensors and is protected by intellectual-property and other laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and to view and privately enjoy the outputs generated for you, for your personal, non-commercial use. You receive no ownership of the Companion, the underlying models, or the Service. Except as permitted by non-waivable law, you may not copy, modify, distribute, sell, scrape, reverse-engineer, resell, or use outputs to train or develop competing models or services.

11. Third-Party Services and Subprocessors

To provide the Service, we rely on third-party providers, including: Twilio (telephony and phone verification), Stripe (payments), Yoti (age verification), OpenAI and OpenRouter (large-language-model processing), Deepgram (speech-to-text transcription), ElevenLabs (text-to-speech), Black Forest Labs / FLUX (image generation, where enabled), and Amazon Web Services (hosting and Rekognition-based image moderation). These providers process data on our behalf as described in the Privacy Policy. Your use of the Service may also be subject to the applicable terms of these providers. We are not responsible for third-party services we do not control.

12. Disclaimers of Warranties

THE SERVICE, THE COMPANION, AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT CALLS OR MESSAGES WILL ALWAYS BE DELIVERED; THAT OUTPUTS WILL BE ACCURATE OR APPROPRIATE; OR THAT MODERATION WILL CATCH EVERY PROHIBITED INPUT OR OUTPUT. YOU ACKNOWLEDGE THAT THE COMPANION IS FICTIONAL AND AI-GENERATED (SECTION 2).

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, such warranties are limited to the minimum extent permitted by law.

TODO (counsel): Align warranty carve-outs with mandatory consumer-protection rules in applicable U.S. states and, if the Service is offered there, the EU/UK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• (a) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, DATA, GOODWILL, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATING TO THE SERVICE OR THE COMPANION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
• (b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) US $100.

THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Some jurisdictions do not allow certain limitations (including for personal injury, gross negligence, willful misconduct, or non-waivable consumer rights), so some of the above may not apply to you.

TODO (counsel): Confirm enforceability and required carve-outs by jurisdiction, and confirm the liability cap (months and dollar floor) given the Service's risk profile.

14. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Dynamanic LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms, the AUP, or the Privacy Policy; (b) your User Content or your inputs to the Service; (c) your misuse of the Service; or (d) your violation of any law or the rights of any third party. We may assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you will cooperate with us.

15. Changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time, including features, tiers, and content limits. We will try to give reasonable notice of material changes that adversely affect you. We are not liable to you or any third party for modifying or discontinuing the Service, subject to your rights under Section 5.

16. Suspension and Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, in whole or in part, with or without notice, if we believe you have violated these Terms or the AUP, attempted to defeat age verification or moderation, or created a risk of harm, illegality, or legal liability, or as needed to comply with law.

Upon termination: your license to use the Service ends; we will delete or retain your data as described in the Privacy Policy (including legally required retention and preservation, such as for child-safety reporting); and any prepaid fees may be forfeited where you are terminated for a violation, to the extent permitted by law. Sections that by their nature should survive termination — including Sections 2, 7 (license grant), 9, 10, and 12 through 18 — will survive.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms and revise the "Effective" date above, and for material changes we will provide reasonable notice (for example, by email or in-app notice). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

18. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the United States and, to the extent state law applies, the laws governing Dynamanic LLC, without regard to conflict-of-laws principles. Nothing in this Section deprives consumers of the mandatory protections of their home jurisdiction where those protections cannot be waived. This Section does not apply to consumers in the EU, UK, or other jurisdictions where pre-dispute binding arbitration or class-action waivers are unenforceable.

TODO (counsel): Finalize the governing-law state, the exclusive venue (county/state) for permitted court actions, and whether to include a binding individual arbitration agreement and class-action waiver (and, if so, the administrator (e.g., AAA/JAMS), rules, fee allocation, opt-out window, and any small-claims and injunctive-relief carve-outs), along with any required EU/UK and state-specific exclusions.

19. Miscellaneous

• Entire agreement. These Terms, together with the AUP, the Privacy Policy, the Cookie Policy, and the Age Verification & Adult Content Notice (and any tier-specific consent you accept, such as age-verification/biometric consent), are the entire agreement between you and us regarding the Service.
• Severability. If any provision is found unenforceable, the remaining provisions stay in effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of it.
• Assignment. We may assign these Terms; you may not assign them without our prior written consent.
• Notices. We may provide notices to you by email, in-app, or by posting on the Service.
